Older | Ira Kalina Kelly Taylor-Hearne is a partner in the Washington, D.C. office of Drinker Biddle & Reath LLP whose broad transactional practice includes particular depth in transactions within the health care industry. Ms. Hearne has extensive experience advising hospitals and health systems, physicians, specialty care providers, and other health care organizations on issues pertaining to corporate law and mergers and acquisitions. Her practice includes acquisitions of both private and public companies, joint ventures, debt financings, equity raises, as well as the noncompetition and employment issues inherent in such transactions. Ms. Hearne also counsels clients regularly on general contractual and corporate governance matters. In addition, Ms. Hearne’s work has frequently involved nonprofit organizations, giving her a broad understanding of the unique issues facing tax-exempt entities. In particular, Ms. Hearne has a significant amount of expertise representing hospital systems and physician practices in transactions involving the dialysis industry, ranging from acquisitions, divestitures, and joint ventures of outpatient and/or acute dialysis programs to negotiations of medical directorships and acute agreements. Earlier in her practice, she served as outside counsel for a large national dialysis provider, representing them on acquisitions and joint ventures.
